Services

ProgressWithAI provides AI automation solutions for businesses, including but not limited to workflow automation, AI voice agents, and custom AI solutions ("Services"). We reserve the right to withdraw or amend our Services, and any service or material we provide, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services are unavailable at any time or for any period.

Account Registration

To access certain features of the Services, you may be required to register for an account. You agree to keep your account information accurate, current, and complete. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device. You accept responsibility for all activities that occur under your account or password.

We reserve the right to refuse service, terminate accounts, or cancel orders in our sole discretion, including, without limitation, if we believe that user conduct violates applicable law or is harmful to our interests.

Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by ProgressWithAI, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Services for your legitimate business purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally and ordinarily permitted through the Services according to these Terms.

Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm the Company or users of the Services or expose them to liability

User Content

The Services may allow you to input, upload, post, submit, or transmit certain content ("User Content"). By providing User Content, you grant us and our affiliates and service providers a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with providing and promoting the Services.

You represent and warrant that: (i) You own or control all rights in and to the User Content and have the right to grant the license granted above, and (ii) All of your User Content does and will comply with these Terms of Service.

Payment Terms

You agree to pay all fees and charges associated with your use of the Services according to the pricing terms in effect when the charges were incurred. You agree to provide us with complete and accurate billing and contact information. We may suspend or terminate your account and access to the Services if your payment is late or your provided billing information is inaccurate.

Unless otherwise agreed upon in writing, subscription fees are billed in advance on a monthly or annual basis, based on your chosen billing cycle. All fees are non-refundable unless explicitly stated otherwise or required by law.

Limitation of Liability

IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Services.

Governing Law

These Terms of Service and any dispute or claim arising out of, or related to, them, their subject matter or their formation shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.

Changes to Terms of Service

We may revise and update these Terms of Service from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms of Service means that you accept and agree to the changes.
